Lima & New York - Energía Eólica S.A. ("Energía Eólica") announced today that it has successfully completed its private offering of $204 million aggregate principal amount of its 6.000% senior secured green notes due 2034 in connection with its two wind power projects in northwestern Peru: Cupisnique, with 83.180 MW of installed capacity, and Talara, with 30.855 MW of installed capacity. The notes were sold pursuant to Regulation S under the Securities Act of 1933. The obligations under the notes are secured by a first-priority security interest on all of Energía Eólica’s existing and future assets.

Energía Eólica S.A. used the net proceeds of the notes to repay and terminate its senior secured credit facility for the projects, repay certain affiliate loans, make a subordinated intercompany loan, pay engineering, procurement, construction and development costs relating to the projects, provide initial funding for reserve accounts under the notes and pay fees and expenses related to the offering.
